I. Description of the Program

a. The rewards program ("Program") is a service provided and managed by Priority Lighting, Inc.

b. Participation in the Program is by invitation only and is exclusive to those companies Priority Lighting deems eligible. Eligible companies are known as “Members”.

c. Priority Lighting reserves the right to reject, disqualify, suspend, modify or terminate the Program for any or all Members at any time, for any reason, and at Priority Lighting’s sole discretion.

d. The Program is void where prohibited by federal, state, or local law.

e. Priority Lighting reserves the right to modify the terms and conditions or value of points at any time and without notice.

f. Priority Lighting reserves the right to cancel or suspend the Program at any time and without notice. Upon cancellation of the Program all unused Points shall also be considered cancelled or suspended and retain no value.

g. All Program Members agree to indemnify and hold harmless Priority Lighting and their respective directors, officers, and employees, from and against any loss, damage, liability, cost, or expense of any kind (including reasonable attorneys’ fees) arising from the Member’s use of the Program, any fraud or misuse of the Program, a violation of these Terms and Conditions or applicable law or the rights of any third party.

II. Redeeming Points

a. Points are earned based on the current value of points vs dollars at the time of payment.

b. All eligible points will be credited to the Member’s account at the time of payment

c. Any invoices paid late may not be eligible for points.

d. Specially discounted quotes may not be eligible for the Program. Please confirm with your salesperson prior to signing a quote.

e. Points can be redeemed through the Priority Lighting Website or with your Salesperson.

f. Points can only be redeemed by Members in good standing and without any overdue balances.

g. As long as the program is active, points do not expire and can be carried over from year to year.

h. Points are deducted from the Member’s balance at the time they are redeemed.

i. Points must be redeemed by the Member and cannot be redeemed by, or transferred to, another person or Member.

j. The Member is responsible for determining any tax liability arising from participation in the Program.

k. Third-party merchants and service providers are responsible for the quality and performance of any products or services they provide. Priority Lighting is not responsible in any way for the products or services provided by third party merchantsand service providers.

l. By signing up for the Program, you agree to the terms and conditions listed above.
